Sandra DuBoff leads the Firms transactional banking practice, representing a variety of lenders (banks and finance companies) and corporate debtors. The focus of Ms. DuBoffs banking practice is secured lending, asset-based lending, structured finance, municipal finance, letters of credit, equipment leasing, leveraged buyouts, public and private debt, acquisitions, swaps, factoring and debt restructurings, as well as advice on general banking law issues, including Revised Article 9 of the Uniform Commercial Code and the Patriot Act. Ms. DuBoff is listed in The Bond Buyer's Municipal Marketplace ("Red Book").
With respect to debtors seeking new financing, Ms. DuBoff advises clients on evaluating loan proposals from banks and other lenders and negotiates commitment letters and final loan documentation. Ms. DuBoff guides the debtor through the closing process, working together with the debtor to make sure that the lender receives schedules, filings, certificates and opinions in a timely manner so that closings proceed smoothly and expeditiously.
With respect to those debtors who are in default under existing loan documentation with banks or finance companies and who would like, if possible, to avoid costly litigation, Ms. DuBoff will advise them and any guarantors on the relative rights and remedies of the lenders, guarantors and debtors, and will negotiate forbearance agreements, waivers and amendments, restructurings of loans in default, and refinancings, if the existing lender is to be replaced. In light of recent events in 2009 with respect to the bankruptcy filing of the holding company of the CIT Group, Ms. DuBoff has been actively involved in renegotiating the factoring and receivables management agreements of clients who directly or indirectly have factoring or other arrangements with the factoring and lending subsidiary of the CIT Group.
Ms. DuBoff has represented financial institutions in connection with financing the purchase or construction of assisted living facilities (through construction loans as well as the issuance of letters of credit as credit enhancement). She also represents Star Gas Partners LP, a leading distributor of propane and home heating oil, in connection with its public debt, bank debt and privately placed debt.
Additionally, Ms DuBoff engages in a general corporate practice, which includes mergers and acquisitions, joint ventures, private placements and securities law matters. She has represented a national publicly held waste management company in connection with its acquisitions of privately held companies in New York and New Jersey.
Ms. DuBoff received a joint Juris Doctor and a Masters of Business Administration in finance from New York University and was inducted into Beta Gamma Sigma, the business school honor society.
Ms. DuBoff serves as a member of the Board of Directors for the Chinese American Bankers Association (CABA) in New York. She is admitted to practice in the States of New York, Connecticut and New Jersey, and is a member of the Business section of the American Bar Association, the New York State Bar Association, the New York Womens Bar Association, and the Westchester-Fairfield Bar Association.
