Stephen Kramer, a partner in our Corporate Law Department, specializes in advising foreign companies and entrepreneurs on U.S. business matters and heads our French Desk. As a Certified Public Accountant and an attorney fluent in French, Steve is able to communicate with his clients not only in their native language, but in the language of business as well. He is particularly adept at expressing in contractual terms the financial and commercial concepts that other attorneys less versed in business often have difficulty documenting.
Steve has the broad experience of a generalist together with a strong background in commercial transactions, inbound foreign investment, business entity practice, mergers and acquisitions, joint ventures, licensing and distribution and contracts of all kinds. He also counsels not-for-profit organizations and assists them in obtaining federal tax exempt status. Steve is well-versed in real estate, immigration, trademark, certain tax issues, asset-based lending and basic litigation, as well as a score of other areas that have implications for both domestic and foreign business interests. This enables him to guide his clients through the wealth of resources available at Phillips Nizer LLP. He describes himself as an orchestra leader who coordinates the various specialists who may at any one time be assisting his clients.
Steve’s clients range from large global industrial groups to small and middle-market companies, as well as entrepreneurial start-ups. He particularly understands the crucial role of a bridge between the American teams operating the US subsidiaries of foreign corporate groups and their management at headquarters overseas. He regularly assists his clients by smoothing out conflicts typically originating from a problem of communication. We are still trying to determine whether Steve is a gastronome or a gourmand, but we agree that he certainly enjoys fine cuisine and wine, rendering him a very easy American for French and other foreign nationals to work with.
Steve is a long-standing arbitrator for the American Arbitration Association and its International Centre for Dispute Resolution. He sits on the commercial arbitration panel, and within that broad category, he serves on both international and complex case panels. Steve’s experience in resolving conflict is always in the back of his mind when representing his clients vis-à-vis other parties.
Steve is admitted to the Bars of New York and Pennsylvania and is a member of the American and New York State Bar Associations. He is also a member of the Union Internationale des Avocats. Licensed as a Certified Public Accountant in the State of New York, Steve belongs to the New York State Society of Certified Public Accountants. An enthusiastic alumnus of both the Wharton School and the Law School of the University of Pennsylvania, Steve is the Men’s President of his undergraduate college class. In April 2009, Steve was featured in the article, "Avocats et experts-comptables: Les guides de l'investisseur," published in France-Amerique (a French news periodical of the United States).
