Areas of Experience:

Christopher Kula is an Associate at Phillips Nizer LLP where he concentrates his practice in securities, corporate finance matters, emerging companies and mergers and acquisitions.
 
Mr. Kula handles private and public offerings of equity, debt, and convertible securities, SEC periodic reports, proxy statements, and registration statements (including for both U.S. issuers and foreign private issuers), Sarbanes-Oxley and corporate governance matters, stock-based mergers, reorganizations, or transactions and general corporate matters, as well as occasionally advising on broker-dealer and investment adviser regulatory matters.  Mr. Kula also has experience with structuring and drafting operating agreements of limited liability companies (for operating businesses, joint ventures and investment vehicles), and with private investment fund formation (domestic) and transactional matters regarding hedge funds, private equity funds (including secondary transfers), venture capital funds, and real estate funds.  Mr. Kula has represented private and public companies at various stages of development in the healthcare, technology, Internet, finance, publishing, fashion, energy, and organic food industries.

As a supplement to his primary focus, Mr. Kula also handles technology related matters including software license agreements, website development agreements, maintenance and service agreements, domain name transfer agreements, as well as terms of use and privacy policies for websites.
 
Mr. Kula received his J.D. from Hofstra University School of Law, where he was Associate Editor of the International Law Digest. While in law school during the summer of 2000, he was a judicial intern for the Honorable Lawrence M. McKenna in the Southern District of New York.  Prior to law school, Mr. Kula attended Villanova University, where he received a Bachelor of Science degree in Biology.
