Samuel M. Ofsevit is a partner in the Real Estate Department at Phillips Nizer LLP. Mr. Ofsevit has extensive experience representing developers and entrepreneurs in a wide range of real estate transactions, including sales, acquisitions and flips of office buildings, multi-family properties, mixed use properties, shopping centers, net leased properties, vacant land and development rights, as well as purchases of commercial loans. He also assists clients in their Section 1031 tax-deferred exchanges.
In addition to representing borrowers in a variety of financing transactions, including permanent and construction mortgage loans, mezzanine loans, securitized and conduit loans and work-outs, Mr. Ofsevit has for many years represented a local bank in its commercial mortgage lending as well as private non-institutional lenders. He has prepared and negotiated the organizational documentation necessary for corporations, partnerships, limited liability companies, and joint ventures.
Mr. Ofsevits work includes representing landlords in New York City and nationally in connection with the preparation and negotiation of triple net leases and leases of offices, retail space in mixed use buildings and shopping centers and free standing retail properties, and representation of tenants in individual leases.
He has recently completed a 200-unit condominium construction project involving acquisition of vacant property and corporate stock of fee owner, acquisition financing, construction and mezzanine financing and negotiation of construction contract and ancillary documents and the sale of the condominium units.
Mr. Ofsevit earned his J.D. from New York University School of Law. He graduated from the University of Rochester cum laude with a Bachelor of Arts degree and was elected Phi Beta Kappa. He is a member of the American Bar Association, the New York State Bar Association and the New York City Bar Association. He is admitted to practice in the State of New York and the United States District Court, Eastern and Southern Districts of New York.
