Jonathan E. Silverblatt is a partner in the Corporate, Securities and Business Law Departments.  Mr. Silverblatt has a broad corporate and securities practice with an emphasis on representing  public and privately-held companies, private equity sponsors and their related portfolio companies and investment banks in a full range of corporate transactions, including domestic and cross border mergers and acquisitions, tender offers, securities offerings, leveraged financings, corporate reorganizations and joint ventures and strategic alliances. 

Mr. Silverblatt also has extensive experience representing venture capital, strategic and angel investors in connection with a variety of venture capital investments and exit transactions.  He represents private investment funds and financial institutions in connection with investments in private investment funds, including hedge fund manager seed capital investments, fund-of-fund investments and other corporate transactions involving asset management companies.  He also advises investors, creditors and debtors in connection with acquisitions and restructurings involving distressed companies, both inside and outside of bankruptcy. 

Mr. Silverblatt’s experience spans a wide range of industries, including media and technology, investment management, life sciences, transportation, consumer products, entertainment, restaurant and retail, natural resources and real estate. 

Prior to joining Phillips Nizer, Mr. Silverblatt was a partner in the New York office of Dechert LLP.

• Counsel to a national maritime transportation company in connection with a $85.0 million senior secured credit facility with Bank of America, N.A., as agent
• Counsel to Adherex Technologies, Inc., a publicly-traded biotech company in connection with a multi-jurisdictional rights offering (United States and Canada)
• Counsel to a private MLP in connection with acquisitions of aggregates businesses
• Counsel to funds affiliated with The Jordan Edmiston Group, Inc. and other selling stockholders in connection with the sale of portfolio company I-Behavior, Inc. to KPM Group, a unit of WPP plc
• Counsel to Elliott Associates, L.P. in connection with the joint acquisition (together with Silverpoint Capital and General Motors Company) of substantially all of the world-wide operations of Delphi Corp. pursuant to Section 363(k) of the Bankruptcy Code
• Counsel to senior management of Getty Images, Inc. in connection with the acquisition of Getty led by Hellman & Friedman LLC
• Counsel to funds affiliated with The Jordan Edmiston Group, Inc. and other selling stockholders of Acerno, Inc. in connection with sale of portfolio company Acerno, Inc. to Akamai Technologies, Inc. and related spin-off of I-Behavior, Inc. to Acerno stockholders
• 144A offerings of senior, subordinated and convertible debt securities in connection with LBO transactions on behalf of private equity sponsors such as One Equity Partners, Bruckmann, Rosser, Sherrill & Co. and Jefferies Capital Partners
• Counsel to PNC Bank in connection with the creation of a joint venture with a major hedge fund to invest in senior turn-around and second lien loans
• Counsel to Real Mex Restaurants in connection with the acquisition of the El Torito and Chevys restaurant chains
