Areas of Experience:

The focus of Ms. DuBoff’s banking practice is secured lending, private banking, asset-based lending, structured finance, municipal finance, letters of credit, equipment leasing, leveraged buyouts, public and private debt, acquisitions, swaps, factoring and debt restructurings, as well as advice on  general banking law issues, including Revised Article 9 of the Uniform Commercial Code and the Patriot Act. 

With respect to debtors seeking new financing, Ms. DuBoff evaluates loan proposals from banks and other lenders and negotiates commitment letters and final loan documentation.  Ms. Duboff guides the debtor through the closing process, working together with the debtor to make sure that the lender receives schedules, filings, certificates and opinions in a timely manner so that closings proceed smoothly and expeditiously.

Ms. DuBoff advises clients on private banking transactions, which have involved unsecured lines of credit or credit lines secured by marketable securities, art work, boats, airplanes and high-end real estate, as well as on loans to and from trusts in connection with estate planning.  With regard to her representation of private clients, Ms. DuBoff works closely with Phillips Nizer’s Tax, Trusts & Estates and Real Estate departments.

Ms. DuBoff advises debtors and any guarantors who are in default under existing loan documentation with banks or finance companies and who would like, if possible, to avoid costly litigation, on the relative rights and remedies of the lenders, guarantors and debtors.  She negotiates forbearance agreements, waivers and amendments, restructurings of loans in default, and refinancings, if the existing lender is to be replaced.  Ms. DuBoff also renegotiates the factoring and receivables management agreements of clients who directly or indirectly have factoring arrangements.

Ms. DuBoff represents financial institutions in connection with financing the purchase or construction of assisted living facilities (through construction loans as well as the issuance of letters of credit as credit enhancement).  Additionally, Ms DuBoff engages in a general corporate practice, which includes mergers and acquisitions, joint ventures, private placements and securities law matters.

Ms. DuBoff earned her joint Juris Doctor and a Masters of Business Administration in finance from New York University and was inducted into Beta Gamma Sigma, the business school honor society.

Ms. DuBoff served two consecutive two-year terms on the Board of Directors for the Chinese American Bankers Association (“CABA”) in New York.  She is admitted to practice in the States of New York, Connecticut and New Jersey, and is a member of the Business section of the American Bar Association and the New York State Bar Association.
